     This week is a treat for you, hardly any writing! However, this exercise is to educate you on how to locate forms and complete them online. I want you to start your own corporation, under the laws of the State of Florida!! First, go to http://www.sunbiz.org, from the drop down menu, select download filing forms, click on Florida Corporation (Profit and Non Profit), finally click on Profit Articles of Incorporation and download the form. From this, read instructions and draft your own articles of incorporation. Second, go to http://www.irs.gov. Under the search for forms and publications search box click on Forms and Publications, locate from the Fill in Forms link the PDF file for form SS-4 and Form 2553. (The test here for you is to locate the forms). Third, go to http://www.irs.gov. Under the search for forms and publications search box click on Forms and Publications, locate from the Forms and Instructions link the PDF file for the instructions to SS-4 and Form 2553. Fourth, fill in the forms. Fifth, email me your articles (you will not be able to save your values). Sixth, at the bottom of your articles post, tell me what address are you to mail each of the three forms to: (1) Florida Articles of Incorporation, (2) Form SS-4, and (3) Form 2553.

 

Written Assignment #2 Chapters 7-13

     Locate a contract for goods and services (Not Real Property—Leases and/or Buying a House) from your business or everyday life. First, analyze the contract to see if it is valid under the basic elements of a contract, found in your text, as if the deal went through. Second, does the UCC or Common Law govern this contract? Third, select 10 provisions or clauses of the contract and analyze them as to their soundness and any problems that potentially could arise under the law. Fourth, under the law, does this contract need to be in writing, why or why not? Fifth, under the law, does this contract need to be signed, if so by whom? Why or why not?

Written Assignment #3 Ch. 24

     Obtain a Deed to a real piece of property. You can do this by looking at the one you, your family, or your friends have on a home, building, or piece of real property. Or simply, walk in to any court house and asked the Clerk of the Court to look up a Deed on some piece of property, there are 1,000’s there!! If no avail, contact me and I will assist you; however, you must ask me prior to the start of week three. First, does the deed contain the 4 elements of a deed? Identify them. Second, what type of deed is it; do you agree in that type; what protections does it contain? Third, make your deed better by redrafting one you like! (PLEASE FEEL  KEEP CONFIDENTIAL PERSONAL ELEMENTS OF THE DEED IF NECESSARY—Address, price, etc. when in doubt make it up!)
